Terms of Service

Effective date: 2 October 2026. These Terms of Service supersede and replace in their entirety the terms of service of Lensdump dated 25 June 2023 and every earlier version, which are withdrawn and cease to apply from the effective date, save as to rights and obligations that accrued before it.

Please read these Terms carefully. They contain provisions that limit Lensdump's liability, require you to indemnify Lensdump, reserve to Lensdump the right to change the Service and these Terms, govern automatic renewal and refunds, and provide for the resolution of disputes by arbitration seated at Patna, India, in each case to the extent permitted by Applicable Law and without prejudice to any right that cannot lawfully be excluded.

# 1. Definitions and interpretation

1.1 In these Terms, unless the context requires otherwise:

  • "Lensdump", "Company", "we", "us" and "our" mean Lensdump Private Limited, a company incorporated under the Companies Act, 2013 (CIN U63120BR2026PTC083813), with its registered office at Road Number 9, Rajeev Nagar, Keshri Nagar, Patna, Bihar 800024, India, and its successors and permitted assigns.
  • "Service" means the website at lensdump.com, its sub-domains and file domains (including l3n.co), and every product, feature, tool, application programming interface (API), content, communication and service that Lensdump makes available through them, as modified from time to time.
  • "User", "you" and "your" mean any person who accesses or uses the Service in any manner, whether or not registered, and, where a person uses the Service on behalf of an entity, both that person and that entity.
  • "Account" means a registered account on the Service. "Member" means the holder of an Account.
  • "User Content" means any image, video, file, text, title, description, tag, comment, profile information, link or other material that a User uploads, submits, publishes or otherwise makes available through the Service, together with its metadata.
  • "Plan" means the Free plan or any paid membership plan offered by Lensdump from time to time. "Paid Plan" means a Plan for which fees are payable, and "Membership" means a subscription to a Paid Plan.
  • "Paid Term" means the period for which fees for a Membership have been paid, including any prepaid periods.
  • "Fees" means the charges payable for a Membership or any other paid feature, inclusive or exclusive of taxes as stated at the point of purchase.
  • "Payment Processor" means Razorpay or any other payment gateway or service provider that Lensdump engages to process payments.
  • "Applicable Law" means every law, statute, rule, regulation, order, notification, guideline and binding direction of any governmental or regulatory authority or court applicable to the Service, Lensdump or you, including the Information Technology Act, 2000, the rules made under it, the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019, the Copyright Act, 1957 and the Bharatiya Nyaya Sanhita, 2023.
  • "Privacy Policy" means Lensdump's Privacy Policy, as amended from time to time, which forms part of these Terms.
  • "Policies" means the Privacy Policy and every other policy, guideline, plan description or rule that Lensdump publishes on the Service, each of which forms part of these Terms.

1.2 Headings are for convenience only and do not affect interpretation. The words "include", "including" and "for example" are illustrative and do not limit the generality of the words preceding them. The singular includes the plural and vice versa. A reference to a law includes that law as amended, re-enacted or replaced. A reference to Lensdump's "discretion" means its sole and absolute discretion, exercised in good faith and subject to Applicable Law.

# 2. Acceptance of these Terms

2.1 These Terms, together with the Policies, constitute a legally binding agreement between you and Lensdump and an electronic record within the meaning of the Information Technology Act, 2000. They are published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and require no physical or digital signature.

2.2 By accessing or using the Service, creating an Account, ticking the box confirming your agreement at sign-up, purchasing a Membership or continuing to use the Service after an amendment takes effect, you confirm that you have read, understood and agree to be bound by these Terms and the Policies. If you do not agree, you must not access or use the Service.

2.3 Where specific features are subject to additional terms presented at the point of use (for example, the conditions of an offer or campaign), those additional terms form part of these Terms. In case of conflict, the additional terms prevail for that feature only.

# 3. About Lensdump

3.1 The Service is owned and operated by Lensdump Private Limited (GSTIN 10AAGCL8138D1ZV). It is a platform that enables Users to upload, store, organise, display and share images and videos, offered under the Plans described on the Service.

3.2 The Service is built using software licensed to Lensdump by third parties, including Chevereto. Such licensors do not operate the Service and are not parties to these Terms.

# 4. Eligibility and capacity

4.1 You may use the Service only if you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872 and the law of the place where you reside. By using the Service you represent and warrant that you meet these requirements. The Service is not directed at children, and persons below 18 years of age must not use it.

4.2 You may not use the Service if you have previously been banned from it, if you are barred from receiving services under Applicable Law, or if your use would violate any Applicable Law.

4.3 If you use the Service on behalf of a company, firm or other entity, you represent and warrant that you are authorised to bind that entity to these Terms, and that entity is bound by them.

# 5. Accounts and security

5.1 To use most features you must register an Account. You shall provide true, accurate, current and complete information and keep it updated, including a valid email address, which Lensdump uses for receipts, security and notices under these Terms. Lensdump may refuse any registration and may reject, require the change of, or reclaim any username at its discretion, including a username that is misleading, infringing, offensive or impersonates any person.

5.2 You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your Account, whether or not authorised by you. You shall notify Lensdump immediately of any unauthorised access or security breach. Lensdump offers two-factor authentication and a list of signed-in devices in your Account settings, and strongly recommends their use. Lensdump is not liable for any loss arising from your failure to protect your Account.

5.3 Accounts are personal and non-transferable. You shall not sell, rent, share, assign or transfer your Account, or create or use multiple Accounts to circumvent any limit, restriction, suspension or ban.

5.4 Lensdump may verify any information you provide and may suspend an Account pending verification.

# 6. Plans, features and limits

6.1 Paid Plans. New Accounts are created with a Paid Plan. The Paid Plans currently offered are Spark, Ember, Superhero, Titan and Angel. The features, limits and Fees of each Plan are described on the plans page and on your membership page, which form part of these Terms.

6.2 Free Plan. The Free plan is available only to Accounts that existed before Paid Plans were introduced and to Accounts created by Lensdump, and cannot be selected at sign-up. A Member who has held a Paid Plan does not revert to the Free plan when paid access ends. A Free Account may keep its first 250 images and 10 videos, of up to 5 MB per file, in up to 5 albums, using up to 20 tags. The Free plan is for personal, non-commercial use only. Lensdump may restrict how files beyond the Free plan's limits are displayed or shared, and may withdraw or alter the Free plan at any time.

6.3 Limits. When an Account reaches a limit of its Plan, it retains the User Content already uploaded but cannot add more of that kind until it is within the limit or moves to a Plan with a higher limit.

6.4 Changes to Plans. Lensdump may at any time, at its discretion, introduce, rename, modify, re-price or withdraw any Plan, feature or limit. A change in Fees does not apply to a Membership already running except with your agreement at checkout. A withdrawn Plan may continue for existing Members until the end of the then-current Paid Term or such other period as Lensdump determines.

6.5 Any description of the Service, any plan comparison or any promotional statement is a general description and does not constitute a warranty, save as expressly stated in these Terms.

# 7. Fees, billing and taxes

7.1 You shall pay all Fees for the Plan you select, at the price displayed at checkout, in advance for each Paid Term. All Fees are payable through the Payment Processor using a payment method it supports (such as card, UPI or e-mandate). Lensdump does not receive or store your full card number. Your use of the Payment Processor is subject to its own terms and policies, and Lensdump is not responsible for its acts or omissions.

7.2 Currency. Users in India are charged in Indian rupees (INR), and other Users in United States dollars (USD). Lensdump determines the applicable currency from the location from which you connect, and may correct the currency of any purchase made in contravention of this clause, including by cancelling and refunding it.

7.3 Taxes. INR prices include Goods and Services Tax (GST) at the applicable rate. Supplies to Users outside India are treated in accordance with GST law. Lensdump issues a tax invoice for every payment. You are responsible for providing accurate billing information (including any GSTIN), and Lensdump is not liable for any consequence of inaccurate information you provide. If any tax is levied or increased by law, Lensdump may adjust the Fees accordingly from the next payment.

7.4 Failed payments. If a payment fails, the Payment Processor may retry it, and Lensdump may notify you and give you an opportunity to update your payment method. If payment is not received, Lensdump may suspend or end paid access without further notice.

7.5 All Fees are non-refundable except as expressly provided in clause 11 or as required by Applicable Law.

# 8. Automatic renewal

8.1 Every Membership renews automatically at the end of each Paid Term (monthly or yearly, as selected), at the price agreed at checkout, until cancelled in accordance with clause 10. By purchasing a Membership you authorise Lensdump and the Payment Processor to charge the renewal Fees to the payment method you approved, through a recurring mandate, without further action on your part.

8.2 Lensdump may send reminders before a renewal, but the absence or non-receipt of a reminder does not affect your obligation to pay or the validity of a renewal charge.

# 9. Upgrades, downgrades, offers and campaigns

9.1 Upgrades take effect immediately. You pay the difference in Fees for the remainder of the Paid Term already paid for, as calculated and displayed by Lensdump at checkout.

9.2 Downgrades are not available on a running Membership. To move to a lower Plan, you must cancel and select another Plan after the current Paid Term ends.

9.3 Offers and campaigns. Lensdump may, at its discretion, offer discounts, offers, codes or campaigns. Unless stated otherwise, a discounted period is paid for in advance, after which the Membership continues at the regular price. Each offer is subject to the conditions displayed with it (including eligibility, number of uses and validity). Lensdump may modify, suspend or withdraw any offer at any time without liability. An offer has no cash value, cannot be combined with another unless stated, and may be refused or reversed where Lensdump suspects abuse. The price displayed at checkout is the price payable.

# 10. Cancellation

10.1 Cancellation by you. You may cancel a Membership at any time from your membership page. Cancellation stops future renewals. You retain paid access until the end of the Paid Term already paid for, including prepaid periods, after which clause 12 applies.

10.2 Pausing billing. Lensdump may pause billing on a Membership at its discretion, for example while resolving a payment issue, and will indicate on your membership page until when paid access continues.

10.3 Refunds, including on cancellation, are governed by clause 11.

# 11. Refund policy

11.1 No refunds. Fees are not refundable, in whole or in part, for any unused period, partial period, cancellation, upgrade, non-use of the Service, change of mind, or suspension or termination of an Account for breach of these Terms.

11.2 Discretionary refunds. Lensdump may, at its discretion and without creating any precedent or obligation, refund a payment in whole or in part, for example a duplicate or erroneous charge. Refunds are made to the original payment method, ordinarily within five to seven working days of approval, subject to the Payment Processor and your bank. A full refund ends the access purchased by that payment. A partial refund does not.

11.3 Incomplete sign-up. If you pay at sign-up but do not complete the creation of your Account within thirty (30) minutes of payment, the Membership is cancelled and the payment refunded in full automatically.

11.4 Chargebacks and disputes. You agree to contact Lensdump before disputing a payment with your bank or card issuer. While a dispute is open, access continues. If the dispute is decided against Lensdump, the access purchased by the disputed payment ends. Lensdump may suspend or terminate an Account that raises unfounded or abusive disputes, and may recover amounts lawfully due.

11.5 Nothing in this clause limits any right to a refund that cannot be excluded under Applicable Law.

# 12. Consequences of the end of paid access

12.1 When paid access ends for any reason (including cancellation, non-payment, a lost dispute, suspension or termination):

  • uploading and the creation of albums and tags are disabled, and the Plan's emblem is no longer displayed;
  • the Account's files remain displayed on lensdump.com subject to their privacy settings, but their direct links used outside lensdump.com display a placeholder in place of the file;
  • the Member may continue to sign in and view their own files.

12.2 Rejoining a Paid Plan restores its features. Lensdump does not undertake to retain the User Content of any Account indefinitely, and may, subject to Applicable Law and these Terms, delete the User Content of Accounts without paid access after giving the Member reasonable prior notice by email, so that the Member may download it.

# 13. User Content and licence

13.1 Ownership. As between you and Lensdump, you retain all ownership rights you hold in your User Content. Lensdump claims no ownership of User Content.

13.2 Licence to Lensdump. By uploading or making available any User Content, you grant Lensdump and its service providers a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, back up, cache, process, adapt (including resizing, transcoding, compressing and generating thumbnails and previews), display, perform, distribute and communicate that User Content, solely for the purposes of operating, providing, securing, improving and promoting the Service and complying with Applicable Law, in accordance with your privacy settings. This licence continues for as long as the User Content is stored on the Service and for a reasonable period thereafter in backups, caches and records, and survives termination to the extent necessary for these purposes. To the extent permitted by the Copyright Act, 1957, you consent to such technical modifications and waive any claim that they prejudice your honour or reputation.

13.3 Your warranties. You represent and warrant that: (a) you own, or hold all rights, licences, consents and releases necessary to upload and share, each item of User Content, including the consent of every identifiable person depicted in it; (b) your User Content and its use as permitted by these Terms do not infringe any intellectual property, privacy, publicity or other right of any person, or violate any Applicable Law; and (c) you will not upload content prohibited by clause 14.

13.4 Responsibility. You are solely responsible for your User Content and the consequences of making it available. Lensdump does not endorse, verify or assume any responsibility for User Content, and is not liable for any User Content or for any loss or damage arising from it.

13.5 Metadata and visibility. If you choose to keep EXIF data, your files retain metadata such as camera details and possibly the location where they were taken, visible to anyone who can download them. Public User Content may be viewed, copied and shared by anyone. A private profile hides your profile page and your name on your files, but each album's privacy setting decides who can see its files. You are responsible for choosing settings appropriate to your User Content.

13.6 Feedback. Any suggestion or feedback you provide may be used by Lensdump without restriction or compensation.

# 14. Content standards

14.1 In accordance with Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you shall not host, display, upload, modify, publish, transmit, store, update or share any information that:

  • belongs to another person and to which you do not have any right;
  • is obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, or promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence, save that lawful adult content is permitted only as set out in clause 14.3;
  • is harmful to children;
  • infringes any patent, trademark, copyright or other proprietary right;
  • deceives or misleads the addressee about the origin of the message, or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature;
  • impersonates another person;
  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting to other nations;
  • contains a software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
  • violates any law for the time being in force.

14.2 Absolutely prohibited. Without limiting clause 14.1, the following are prohibited in all circumstances, will be removed, will result in the permanent ban of the Account, and will be reported to the competent authorities where Applicable Law requires: (a) any sexual or sexualised depiction of a person under 18 years of age, in any form, including drawn, animated or computer-generated depictions (child sexual abuse material); (b) intimate or sexual images of any person shared without that person's consent, and any sexual content created or shared without the consent of every person depicted; (c) content depicting or promoting sexual violence, bestiality or the exploitation of any person; and (d) content that promotes terrorism or violent extremism.

14.3 Adult content. Content of a sexual or explicit nature is permitted only if it is lawful under Applicable Law, depicts only adults who have consented to its creation and publication, and is marked "NSFW" by the uploader. Lensdump may, at its discretion and without notice, mark any content as NSFW, restrict its display, hide it from listings or remove it, and may require proof of age and consent of the persons depicted.

# 15. Prohibited conduct

15.1 You shall not, and shall not permit any person to:

  • access or attempt to access any Account, system or data without authorisation, or probe, scan or test the vulnerability of the Service;
  • interfere with, overload, disrupt or impose an unreasonable burden on the Service or its infrastructure, including through denial-of-service attacks or excessive requests;
  • scrape, crawl, harvest or collect data or content from the Service by automated means, except through an API that Lensdump expressly makes available to you and within its limits;
  • circumvent, disable or interfere with any limit, privacy setting, access control, security measure or enforcement action;
  • copy, modify, reverse engineer, decompile or create derivative works of the Service or its software, except as permitted by Applicable Law;
  • send spam, chain letters or unsolicited communications, or use the Service for phishing, fraud or any deceptive practice;
  • threaten, stalk, harass, defame, intimidate or harm any person, or disclose any person's personal information without consent;
  • resell, sublicense or commercially exploit the Service other than as permitted by your Plan;
  • use the Service in violation of any Applicable Law or these Terms, or assist any other person to do so.

# 16. Direct links, hotlinking and commercial use

16.1 You may share direct links to your files, and embed them in personal web pages, posts and forums, for personal and non-commercial purposes on the Free, Spark or Ember plans.

16.2 Use of the Service or of direct links for any commercial purpose, including on business websites, online stores, marketplaces or work for clients, requires the Superhero, Titan or Angel plan, or Lensdump's prior written permission.

16.3 On every Plan, the Service shall not be used as a content delivery network for the assets of a website or application, such as logos, icons, banners, emoji, avatars, stickers or page images.

16.4 Whether a direct link works for others is determined by the file's album privacy, the status of the Account and its Plan. Lensdump may limit, rate-limit, redirect or disable any direct link at its discretion, including where usage is excessive or abusive.

# 17. API and automated access

17.1 API access, where included in your Plan, is provided at Lensdump's discretion and may be limited, changed, suspended or withdrawn at any time. API keys are confidential and personal to you. All use of the API is subject to these Terms and to the limits of your Plan.

# 18. Lensdump intellectual property

18.1 The Service, including its design, software, text, graphics, logos, the name "Lensdump", emblems and other marks (but excluding User Content), is owned by or licensed to Lensdump and protected by intellectual property laws. Subject to these Terms, Lensdump grants you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purposes. All rights not expressly granted are reserved. You shall not use Lensdump's name, marks or emblems without prior written consent.

# 19. Third-party services

19.1 The Service integrates or links to third-party services, including the Payment Processor, sign-in services (such as Discord, Google and Facebook) and the Lensdump Discord server, where your role reflects your Plan if you connect your Discord account. Your use of third-party services is governed by their own terms and policies. Lensdump does not control and is not responsible for third-party services, their availability or their content, and is not liable for any loss arising from their use.

# 20. Intermediary status and moderation

20.1 Lensdump is an intermediary within the meaning of section 2(1)(w) of the Information Technology Act, 2000, and claims the protections available to it under section 79 of that Act and Applicable Law. Lensdump does not initiate the transmission of User Content, select its receivers, or select or modify the information it contains, save for technical processing in the ordinary course of providing the Service.

20.2 Lensdump is under no obligation to monitor User Content, but reserves the right (without any obligation) to review, screen, refuse, mark, restrict, hide, disable access to or remove any User Content, at any time and for any reason, including on receipt of a complaint, an order of a court or a direction of a government agency, or where Lensdump considers it to breach these Terms or Applicable Law. Lensdump may preserve User Content and information and disclose them to the competent authorities where required or permitted by Applicable Law.

# 21. Enforcement, suspension and termination

21.1 Lensdump may, at its discretion and without prior notice or liability, take any one or more of the following measures where it believes that you have breached these Terms or Applicable Law, where required by law or an authority, or to protect the Service, its Users or third parties: remove or restrict User Content; place an Account on hold (preventing new uploads, albums and tags); suspend the benefits of a Plan for a period; issue strikes; reset credentials or sign the Account out of all devices; or ban the Account.

21.2 A ban terminates the Account's access, stops billing, removes its remembered sign-ins and API keys, and ends its licence to use the Service. The User Content of a banned Account is retained for thirty (30) days and may thereafter be permanently deleted. No refund is due on a ban, save as Lensdump may decide or Applicable Law may require.

21.3 Lensdump may also suspend or terminate any Account, or the Service or any part of it, at any time, for any reason or for no reason, subject to Applicable Law. Where Lensdump terminates a paid Account, or discontinues the Service, otherwise than on account of your breach of these Terms or Applicable Law, Lensdump shall refund to you the Fees attributable to the unused portion of the then-current Paid Term.

21.4 You may stop using the Service at any time. Requests to delete an Account may be made as described in the Privacy Policy.

21.5 Clauses that by their nature should survive termination, including clauses 13.2 to 13.4, 18, 28 to 30, 32 and 33, survive termination of these Terms or of any Account.

# 22. Reporting content and copyright notices

22.1 Any person may report User Content that they believe breaches these Terms or Applicable Law through the contact page or by writing to the Grievance Officer (clause 23).

22.2 Notices of copyright infringement should be sent to copyright@lensdump.com and must contain: identification of the work claimed to be infringed; the link to each item of User Content complained of; the complainant's name, address and contact details; a statement that the complainant owns the rights or is authorised by the owner; and a declaration that the information is true and correct. Lensdump will act on valid notices in accordance with Applicable Law, and may disable access to the content, notify the uploader and, where appropriate, restore it.

22.3 Lensdump may decline incomplete, unfounded or abusive notices. A person who knowingly submits a false notice may be liable under Applicable Law.

# 23. Grievance redressal

23.1 In accordance with the Information Technology Act, 2000, the rules made under it and the Digital Personal Data Protection Act, 2023, the Grievance Officer of Lensdump is:

23.2 The Grievance Officer shall acknowledge a complaint within twenty-four (24) hours and dispose of it within fifteen (15) days of receipt. A complaint concerning content that exposes the private area of an individual, shows such individual in full or partial nudity, shows or depicts such individual in any sexual act or conduct, or is in the nature of impersonation (including artificially morphed images), shall be acted upon within twenty-four (24) hours of receipt. Complaints should state the complainant's name and contact details, the link to the content and the grounds of the complaint.

# 24. Electronic communications

24.1 You consent to receive communications from Lensdump electronically, including by email and notices on the Service, and agree that such communications satisfy any legal requirement that they be in writing. Account, billing, security and legal communications form part of the Service and are sent to every Member. Marketing communications (newsletters, offers and product updates) are sent only with your consent, which you may withdraw at any time in your Account settings or through the link in each such communication.

24.2 Notices to you are deemed received when sent to the email address registered on your Account or when posted on the Service. Notices to Lensdump must be sent to the Grievance Officer's email address or registered office.

# 25. Availability, modification and discontinuation of the Service

25.1 Lensdump may, at any time and at its discretion, with or without notice and without liability, modify, add, remove, suspend or discontinue any feature, function, Plan or part of the Service, or the whole Service, temporarily or permanently, including for maintenance, security, legal or commercial reasons. Lensdump does not guarantee that the Service or any feature will remain available.

25.2 If Lensdump discontinues the Service as a whole, it will endeavour, where practicable, to give reasonable notice to enable Members to download their User Content.

# 26. Amendments to these Terms

26.1 Lensdump reserves the right to amend, modify, add to, replace or withdraw these Terms and any Policy, in whole or in part, at any time and at its discretion. Amendments take effect on publication on the Service, or on any later date stated in them. The effective date at the top of these Terms indicates when they were last amended.

26.2 Where Lensdump considers an amendment to be material, or where Applicable Law requires, Lensdump will give notice of it on the Service or by email before it takes effect. It is your responsibility to review these Terms periodically.

26.3 Your continued access to or use of the Service after an amendment takes effect constitutes your acceptance of the amended Terms. If you do not agree to an amendment, your sole remedy is to stop using the Service and cancel any Membership in accordance with clause 10.

# 27. Data loss and backups

27.1 Although Lensdump takes reasonable measures to protect stored data, no system is immune from failure, error or attack. Lensdump does not guarantee that User Content will not be lost, corrupted or become unavailable. You are solely responsible for keeping independent copies of all User Content. Signed-in Members can download albums or selected files as an archive, subject to the limits of that feature.

# 28. Disclaimer of warranties

28.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY OR UNINTERRUPTED OR ERROR-FREE OPERATION, ALL OF WHICH ARE EXPRESSLY DISCLAIMED.

28.2 Lensdump does not warrant that the Service will meet your requirements, that defects will be corrected, that the Service is free of viruses or harmful components, or that any User Content will be preserved.

# 29. Limitation of liability

29.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LENSDUMP AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS AND SERVICE PROVIDERS SHALL NOT BE LIABLE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR CONTENT, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY.

29.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF LENSDUMP FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT OF THE MOST RECENT MEMBERSHIP PAYMENT MADE BY YOU TO LENSDUMP, OR, IF YOU HAVE MADE NO PAYMENT, ONE THOUSAND INDIAN RUPEES (INR 1,000).

29.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Applicable Law, including any non-waivable right of a consumer under the Consumer Protection Act, 2019.

# 30. Indemnity

30.1 You shall defend, indemnify and hold harmless Lensdump and its directors, officers, employees, agents, licensors and service providers from and against all claims, demands, actions, proceedings, liabilities, damages, losses, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) your access to or use of the Service; (c) your breach of these Terms or any Policy; (d) your violation of any Applicable Law or of any right of any third party; or (e) any dispute between you and another User or third party.

30.2 Lensdump may assume the exclusive defence and control of any matter subject to indemnification, in which case you shall cooperate fully.

# 31. Force majeure

31.1 Lensdump shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, riots, civil unrest, governmental action or orders, labour disputes, failures of power, telecommunications, internet, hosting, payment or other third-party services, denial-of-service or other cyber-attacks, and changes in Applicable Law.

# 32. Governing law and dispute resolution

32.1 These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by the laws of the Republic of India, without regard to conflict-of-law principles.

32.2 Amicable resolution. Before initiating any proceedings, you shall first raise the matter with the Grievance Officer and allow thirty (30) days for its resolution.

32.3 Arbitration. Any dispute not so resolved shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement of the parties, or failing agreement, in accordance with that Act. The seat and venue of arbitration shall be Patna, Bihar, India, and the proceedings shall be conducted in English. The award shall be final and binding.

32.4 Jurisdiction. Subject to clause 32.3, the courts at Patna, Bihar, India shall have exclusive jurisdiction. Lensdump may nevertheless seek injunctive or other urgent relief in any court of competent jurisdiction.

32.5 Nothing in this clause deprives a consumer of any forum, remedy or right of complaint that is available under the Consumer Protection Act, 2019 or any other Applicable Law and cannot be excluded by agreement, and nothing in these Terms restricts the period within which any right may be enforced under the Limitation Act, 1963.

# 33. General provisions

33.1 Entire agreement. These Terms and the Policies constitute the entire agreement between you and Lensdump concerning the Service, and supersede all prior agreements, representations and understandings.

33.2 Severability. If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permissible, or replaced by a valid provision that most closely reflects its intent, and the remaining provisions remain in full force.

33.3 No waiver. No failure or delay by Lensdump in exercising any right operates as a waiver of it, and no single or partial exercise precludes any further exercise.

33.4 Assignment. You may not assign or transfer any right or obligation under these Terms. Lensdump may assign, transfer, novate or sub-contract any of its rights and obligations at any time, including in connection with a merger, acquisition, reorganisation or sale of assets, without your consent.

33.5 Relationship. Nothing in these Terms creates any partnership, joint venture, agency or employment relationship between you and Lensdump.

33.6 Third parties. No person other than you and Lensdump has any right to enforce these Terms.

33.7 Language. These Terms are written in English. Any translation is for convenience only, and the English version prevails.

33.8 Records. Lensdump's electronic records of transactions, consents and communications are admissible as evidence of their contents to the extent permitted by Applicable Law.
